Since the GmbH and UG create limited liability, the law needs someone to blame: the Managing Director (MD). Every company has to have one, and it’s the GmbH’s equivalent to a CEO, which doesn’t exist in Germany.
You can appoint all co-founders as managing directors, and depending on their place in the company the MD will be either self-employed or employed (and thus needing to pay social insurance).
